TERMS OF USE — LEGAL WITH SUPPLEMENTAL PLAIN LANGUAGE

The "legal" sections are the legally binding terms of this Agreement.
The plain language "human version" sections summarize key points to help you understand the legal text. If there's any conflict between them, the legal sections prevail.

1) Overview & Acceptance
Legal:
Please read the following carefully. This is a legally binding agreement between you AS AN END USER (AS DEFINED BELOW) and HUXLEY TECHNOLOGIES, INC. (doing business as OpenRecovery), and its related, affiliated or subsidiary companies ("Company" or "we"). This Terms of Use agreement, together with all amendments, and collectively with all Company rules and policies, including the Company Privacy Policy and Artificial Intelligence (AI) Policy, constitute the "Agreement" between you and Company regarding your access to and use of the Company service ("Service"). By accessing or using the Service, you signify that you have read the Agreement and that you understand and agree to be bound by the Agreement.
THIS AGREEMENT COVERS IMPORTANT INFORMATION ABOUT THE SERVICE. THE AGREEMENT INCLUDES INFORMATION ABOUT FUTURE CHANGES TO THE AGREEMENT, LIMITATIONS OF LIABILITY, RELEASES OF CLAIMS, INDEMNIFICATION, CHOICE OF LAW AND VENUE, LIMITATIONS ON CLAIMS, PRIVACY INFORMATION AND A WAIVER OF YOUR RIGHT TO A JURY TRIAL AND RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR ARBITRATION. ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE TERMS, YOUR USE OF THE SERVICE, OR ANY RELATIONSHIP BETWEEN THE PARTIES SHALL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION.
IF YOU HAVE NOT READ THE AGREEMENT, DO NOT UNDERSTAND OR AGREE TO BE BOUND BY THE AGREEMENT, OR ARE NOT ABLE TO CONSENT TO BE BOUND BY THE AGREEMENT (E.G., IF YOU ARE NOT OLD ENOUGH TO ENTER INTO A BINDING LEGAL CONTRACT), DO NOT USE OUR SERVICE.

By using OpenRecovery, you agree to these Terms. They include important things like arbitration, limits on liability, and other legal rights. If you don't agree, don't use the Service.
2) Scope
Legal:
Anyone who accesses or uses our Service is an "End User." The Agreement sets forth your rights and obligations as an End User with respect to your access to and use of the Service and use of any and all information or data of any kind arising from access to, or use of, the Service, including, without limitation, any text, graphics, images, artwork, sound recordings, audio, video, and software.
We reserve the right, in our sole discretion, to change this Agreement (including the Privacy Policy) from time to time, without prior notice, pursuant to Section 16.1 Modifications below. You are responsible for reviewing the Agreement regularly. Your access to any part of the Service is deemed to be your acceptance of this Agreement, and any changes thereto.

These terms apply to everyone who uses OpenRecovery. We may update them; when we do, continuing to use the Service means you accept the new version.
3) Privacy Policy & AI Policy
Legal:
Please see our Privacy Policy for a detailed description of how we collect, use, and disclose information about our End Users. Our Privacy Policy is incorporated by reference in this Agreement. By using the Service, you are also consenting to the Privacy Policy.
Furthermore, please see our AI Policy for a detailed description of how we develop and use AI technology in the Service. Our AI Policy is incorporated by reference in this Agreement. By using the Service, you are also consenting to the AI Policy.

Our Privacy Policy explains how we handle your data. Our AI Policy explains how our AI features work. Using OpenRecovery means you agree to both.
4) Description of Service & Eligibility
Legal:
The Service is offered through:
(a) the website available at https://www.openrecovery.com/ (the "Website"), as well as related webpages, services and content accessible through the Website;
(b) the "OpenRecovery: Addiction Help" mobile app (the "App") to consumers in need of recovery ("Consumers"); and
(c) the RecoveryIQ web-based dashboard (the "Dashboard") available at https://recoveryiq.openrecovery.com/ to coaches, counselors, and sponsors ("Facilitators") in support of recovery.
Website. Offers general information regarding OpenRecovery and related resources.
App. Methodology-agnostic and focused on personal engagement in recovery by offering personalized programs and interventions to promote recovery actions.
App features include:
- Point-Based Reward System. Consumers earn recovery points for engagement. Points unlock features (e.g., social interactions, forum participation). Points have no monetary value, are non-transferable, and expire after one month of inactivity. Attempts to game points are prohibited.
- Content Generation Tool. Consumers may create "User Generated Content" (UGC) including visual/audio materials, experiences, meeting minutes, transcripts, journals, and resources. Private UGC is handled per the Privacy Policy. By creating/sharing UGC, you grant Company the license described in Section 6(b). UGC is subject to Usage Restrictions (Section 7) and Indemnity (Section 14). We may moderate/remove UGC that violates these Terms. Disputes are handled under Section 16.
- Community Sharing Tool. Allows sharing activity information or UGC with selected Consumers or in community forums. Company does not endorse UGC. Reliance is at your own risk.
- Chatbot. AI-powered recovery coach supporting text/audio inputs for guidance, prompts, and summaries. Continued interaction improves support patterns. See the AI Policy for details.
- AI-Based Analytics. Analyzes Consumer behavior to support recovery efforts and provide reports/insights. See the AI Policy for details.
- Marketplace. Intermediary connecting Facilitators and Consumers. Company does not endorse Facilitator services; use at your own risk.
- Data Sharing with Facilitators. Consumers may share selected account data with selected Facilitators via the Dashboard with explicit, recorded consent. See the Privacy Policy.
- Impact Score. Continuously updated score of Facilitator effectiveness based on recovery outcomes (from App data). May be used to rank/match Facilitators. See the AI Policy.
Dashboard. SaaS offering for Facilitators to monitor actions, track progress, and view predictive analytics about relapse risk and personalized risk scores. May include training modules.
Dashboard features include:
- Consumer Data. Access to Consumer-selected data shared via the App. Facilitators must not share Consumer data without the Consumer's written consent (see Privacy Policy).
- Chatbot. AI-powered support for guidance, prompts, and summaries. See the AI Policy.
- AI-Based Analytics. Analytics for Consumer and Facilitator behavior with trend and causal insights. See the AI Policy.
- Impact Score. As above.
- Content Generation Tool. Facilitators can create UGC (e.g., service materials); license in Section 6(b) applies. Moderation may occur.
- Marketplace. Facilitators may offer services; Company acts only as intermediary; use at your own risk.
Payment. Payment for each billing cycle is due before the prior cycle ends. Mid-cycle starts are prorated. All payments are non-refundable.
Up/Downgrades. Take effect at the start of a billing cycle. Initial selection and downgrading to tiers (a)–(c) may require evidence of change of status.
Cancellation. Consumers may cancel anytime. Facilitators may cancel anytime except Facilitators currently working with Consumers must provide 30-day notice before cancellation.

Eligibility. You must have an account; you're responsible for all costs and fees. You must be 18+. By using the Service, you represent and warrant that: (i) you are a natural person aged 18 or older; (ii) you provide and maintain accurate information; (iii) you are located in the United States; (iv) you control only one account (Consumer or Facilitator) at a time; and (v) you are responsible for your credentials and activity.

What we offer: Website, App for people in recovery, and Dashboard for facilitators. Some features use AI. You can share data with a facilitator if you choose, and you control those choices. There are several subscription tiers. You must be 18 or older and keep your account info accurate.
5) Operation & Accuracy
Legal — Operation:
Features and functionality may change. We may withdraw, suspend, or discontinue any function at any time without liability.
Legal — Inaccuracies:
We work to provide accurate information, but errors can occur. We may correct errors or update information at any time without notice. Company makes no guarantees as to completeness, timeliness, correctness, or accuracy. See Sections 11–12 for additional disclaimers.
Human Version:
We're always improving the Service and may change or remove features. We aim for accuracy, but mistakes can happen.
6) Intellectual Property & Licenses
Legal — 6(a) License to You:
Subject to this Agreement, you receive a limited, personal, non-exclusive, non-sublicensable, non-assignable, non-transferable, revocable license to access and use the Service for non-commercial use. Except as provided, all rights are reserved.
Legal — 6(b) License to Company (UGC):
By communicating with us or submitting User Generated Content through the Service, you grant Company a royalty-free, worldwide, perpetual, irrevocable, non-exclusive, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such UGC (in whole or part) and to incorporate it into other works in any form, media, or technology now known or later developed (subject to the Privacy Policy). This includes incorporation into Service features or inputs to third-party services based on large language models (LLMs).

You can use OpenRecovery for personal, non-commercial purposes. If you post or upload content, you give us permission to use it to run and improve the Service (consistent with the Privacy Policy).
7) Usage Restrictions
Legal:
You may not: disrupt or modify the Service; sell/transfer rights; remove proprietary notices; use for unauthorized/illegal purposes; copy/erase/damage content or servers; violate others' rights; harass or post unlawful/obscene content; hack or access non-public areas; impersonate others; use automated means (bots/scrapers) or submit content from the Service to AI/LLMs without written permission; probe or breach security; inject malware; build a competing product; or submit UGC that uses unlicensed third-party IP, breaches confidentiality, is inappropriate/misleading/objectionable, or violates these Terms.

Use the Service respectfully and legally. Don't hack, scrape, spam, post illegal or harmful content, or use OpenRecovery to build a competitor.
8) Third-Party Properties
Legal:
References to third-party venues/sites/products/services ("Third Party Properties") don't imply endorsement. Use them at your own risk and review their terms/policies. No affiliation is implied with any third party, including Alcoholics Anonymous World Services, Inc.

Sometimes we link to or mention other services. They have their own rules and aren't our responsibility.
9) Availability & Security
Legal — Availability:
We aim for reasonable uptime but can't guarantee 100%. Interruptions may occur. We aren't liable for interruptions or outages.
Legal — Security; Risks of Using Secure Sites/Messaging:
No security is impenetrable. We do not guarantee the security of databases or transmissions over networks. You transmit information at your own risk. We use administrative, physical, and technical measures to protect data (see Privacy Policy: Security of Data).
Human Version:
We work hard to keep the Service up and secure, but outages and risks can happen online.
10) Disclaimers
Legal — NO MEDICAL OR HEALTH ADVICE.
THE SERVICE AND ALL INFORMATION ON THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND NOT MEDICAL ADVICE. ALWAYS SEEK ADVICE FROM A QUALIFIED HEALTHCARE PROFESSIONAL. IF YOU THINK YOU MAY HAVE A MEDICAL EMERGENCY, SEEK HELP IMMEDIATELY.
Legal — "AS IS/AS AVAILABLE."
THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES (EXPRESS, IMPLIED, OR STATUTORY), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ARISING FROM COURSE OF DEALING/USAGE. WE DO NOT WARRANT ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, OR SECURITY.

OpenRecovery isn't medical care. For medical issues, talk to a professional. We provide the Service as-is, without guarantees.
11) Limitation of Liability & Release
Legal:
To the maximum extent allowed by law, Company and its affiliates/suppliers are not liable for direct, indirect, special, incidental, exemplary, punitive, or consequential damages; delays; lost goodwill; data loss; interruptions; lost profits/revenue/savings; or other economic loss relating to or from the Service—even if advised of possibility. If damages are awarded, they are limited to US $100. No action may be brought more than one (1) year after it accrues. You waive Section 1542 of the California Civil Code (and similar laws).
Human Version:
Our liability is very limited. If a court still awards damages, the maximum is $100. Claims must be brought within one year.
12) Access Restriction, Termination & Survival
Legal:
We may restrict, suspend, or terminate access at any time with or without cause. You may stop using the Service at any time. Certain provisions survive termination, including Sections 1, 5, 6(b), 7, 10, 11, 12, 13, 14, 16.
Human Version:
You can leave anytime; we can also limit or end access if needed. Some terms keep applying even after an account ends.
13) Indemnity
Legal:
You agree to indemnify, defend, and hold harmless Company and its affiliates and representatives from all claims, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your violation of this Agreement or activities related to your use of the Service, information on the Service, or UGC.
Human Version:
If your actions cause legal trouble for us, you'll cover our costs.
14) IP Infringement Complaints (DMCA)
Legal:
To notify Company of claimed copyright infringement, provide: (i) signature of authorized person; (ii) identification of the copyrighted work(s); (iii) description and location (URL) of the material; (iv) your contact info; (v) good-faith statement of unauthorized use; (vi) statement under penalty of perjury of authority and accuracy.

15) General Terms
15.1 Modifications
Legal:
We may add, delete, or modify the Agreement at any time, effective when posted on the Service. Continued use after the effective date means you accept the changes. Your remedy if you don't accept changes is to stop using the Service.

We'll post updates. Keep using the Service only if you agree to the latest version.
15.2 Access & Use Where Prohibited
Legal:
Access/use is unauthorized in any jurisdiction that does not give effect to all provisions of the Agreement.
Human Version:
If local law doesn't allow these Terms, you can't use the Service there.
15.3 Operation from the United States; Cross-Border Data
Legal:
We operate from the United States and direct the Service to U.S. users. If you access from outside the U.S., you're responsible for compliance with local laws and consent to transfer of your information to the U.S. per U.S. law and our Privacy Policy. You may not use the Service in violation of export laws.
Human Version:
We're U.S.-based. Using OpenRecovery from elsewhere means your data may be processed in the U.S.
15.4 Applicable Law & Venue
Legal:
This Agreement is governed by the laws of Delaware, without regard to conflicts-of-law rules.

Delaware law applies.
15.5 Agreement to Arbitrate & Class Action Waiver
Legal:
Except for small-claims disputes, any dispute must be resolved by final, binding arbitration under the Federal Arbitration Act before a single neutral arbitrator (retired judge or lawyer with 10+ years in technology law). Administered by the American Arbitration Association (AAA) under its Consumer-Related Disputes Supplementary Procedures/expedited procedures (see www.adr.org). Conducted telephonically/online/in writing unless otherwise agreed. Company pays filing/arbitrator/facilities fees; each party pays its own attorneys' fees. Disputes must proceed individually, not as class/representative/mass/consolidated actions. Arbitration facts and dispute are confidential. If arbitration is unenforceable, the parties waive jury trial and proceed exclusively in Delaware courts. You may still pursue qualifying claims in small-claims court.
BY ACCEPTING THESE TERMS, YOU WAIVE JURY TRIAL AND CLASS ACTION RIGHTS.

Disputes go to individual arbitration (not court or class actions), except small-claims. By using OpenRecovery, you agree to this.
15.6 Miscellaneous
Legal:
If any part of the Agreement is invalid, the rest stays in effect. No delay or failure to enforce is a waiver. If we take legal action for your violation, you'll pay our reasonable attorneys' fees and costs. We aren't liable for terminating access. You can't assign this Agreement without our consent; we may assign with notice by posting. This Agreement is the final, complete agreement about the Service.

These are the full Terms. If a piece is invalid, the rest still applies. You can't transfer your rights without our okay; we can assign ours.
